Subcontractor Standards & Agreement

Please read KCGI's Subcontractor Standards & Agreement below before submitting. It covers insurance and licensing, workmanship and warranty, communication, scheduling, jobsite conduct, safety, cleanup, responsibility for work, financial responsibility, and other standards.

KCGI Subcontractor Standards & Agreement

Killian's Handyman Services, doing business as Killian's Contracting Group, Inc. ("KCGI" or "Contractor"), is committed to maintaining high standards for quality, safety, communication, professionalism, and accountability on every project.

This Subcontractor Standards & Agreement ("Agreement") establishes the general requirements applicable to subcontractors performing work for KCGI. By accepting work from KCGI and acknowledging this Agreement electronically or by signature, the subcontractor ("Subcontractor") agrees to comply with these standards on all KCGI projects unless otherwise agreed in writing.

Project-specific scopes, pricing, schedules, plans, specifications, and other requirements may be established separately through proposals, purchase orders, work orders, or other written authorization.

1. Independent Contractor Status

Subcontractor operates as an independent contractor and is not an employee of KCGI. Subcontractor is responsible for its employees and any approved lower-tier subcontractors, including their supervision, payroll, taxes, benefits, insurance, and compliance with applicable employment laws.

2. Insurance & Licensing

Subcontractor shall maintain, at its own expense: (a) Commercial General Liability insurance with limits of at least $1,000,000 per occurrence; (b) Workers' Compensation insurance as required by applicable law; and (c) any licenses, certifications, or registrations required to legally perform its work.

KCGI shall be named as an Additional Insured on Subcontractor's General Liability policy when requested or required by the applicable project.

Current Certificates of Insurance shall be provided before work begins and maintained while performing work for KCGI. Subcontractor shall promptly notify KCGI of any cancellation, lapse, or material change in required coverage.

3. Workmanship & Warranty

Subcontractor agrees to perform all work in a professional and workmanlike manner consistent with applicable codes, project requirements, manufacturer requirements, and accepted industry standards.

Unless otherwise agreed in writing, Subcontractor warrants its workmanship for a minimum of one (1) year from substantial completion of its work and agrees to promptly correct defective or non-conforming work for which it is responsible at no additional cost to KCGI.

If Subcontractor fails to make required corrections within a reasonable time after notice, KCGI may arrange for the corrections and recover the reasonable resulting costs from Subcontractor.

4. Schedule, Communication & Coordination

Subcontractor agrees to cooperate with KCGI's Project Managers, Superintendents, and other designated representatives and maintain consistent, proactive communication throughout each project.

Subcontractor shall respond to project communications in a timely manner, coordinate with other trades, maintain appropriate manpower, and make reasonable efforts to meet agreed-upon schedules.

Any actual or anticipated delay, material or labor shortage, field conflict, unforeseen condition, safety concern, or other issue that could affect cost, quality, or schedule shall be communicated to KCGI as soon as reasonably possible.

Subcontractor understands that timely communication is essential to successful project management and agrees not to knowingly allow an issue to continue without notifying KCGI.

5. Jobsite Conduct & Safety

Subcontractor is responsible for maintaining a safe and professional jobsite and shall: maintain a drug- and alcohol-free workplace; treat clients, occupants, KCGI personnel, other trades, and members of the public professionally and respectfully; comply with applicable OSHA requirements, safety regulations, and project-specific safety rules; provide appropriate supervision, tools, equipment, and PPE for its personnel; and immediately report accidents, injuries, property damage, or significant safety concerns to KCGI.

KCGI reserves the right to require the removal of any individual from a project for unsafe, disruptive, disrespectful, or otherwise inappropriate conduct.

6. Jobsite Cleanliness & Property Protection

Subcontractor shall maintain a reasonably clean and organized work area, remove debris generated by its work, and protect existing property and completed work from damage.

Subcontractor shall be responsible for reasonable costs associated with repairing damage caused by its personnel, equipment, or operations.

7. Compliance & Responsibility for Work

Subcontractor shall comply with applicable federal, state, and local laws, codes, regulations, and project requirements related to its work.

Subcontractor is responsible for the quality, supervision, means, methods, and safe execution of its work and for the actions of its employees and any lower-tier subcontractors it is authorized to use.

8. Changes & Additional Work

Subcontractor shall not perform work outside its authorized scope with the expectation of additional compensation without first communicating the change to KCGI and receiving approval.

Changes affecting project price or schedule should be documented and approved in writing before additional work is performed whenever reasonably possible.

9. Indemnification

To the fullest extent permitted by applicable law, Subcontractor shall indemnify and hold harmless KCGI from claims, damages, losses, and reasonable expenses to the extent caused by the negligent acts, omissions, misconduct, or breach of this Agreement by Subcontractor or those for whom Subcontractor is responsible.

10. Removal, Termination & Financial Responsibility

KCGI may remove Subcontractor from an individual project, suspend its work, or discontinue its subcontractor relationship for cause, including but not limited to: failure to maintain required insurance or licensing; defective or non-conforming work that is not timely corrected; failure to follow applicable safety requirements or jobsite conduct standards; repeated failure to communicate or coordinate with KCGI; failure to maintain reasonable progress or agreed-upon schedule commitments; or abandonment of a project or authorized scope of work.

When circumstances reasonably permit, KCGI may provide Subcontractor an opportunity to correct the issue before removal or termination. KCGI may take immediate action when necessary to protect safety, property, project schedule, or its contractual obligations.

If Subcontractor is removed or terminated for cause, KCGI may use its own forces or another subcontractor to correct or complete Subcontractor's work.

Subcontractor shall be responsible for the reasonable costs incurred by KCGI that exceed the unpaid balance otherwise due to Subcontractor for that work, to the extent those costs result from Subcontractor's breach, defective work, abandonment, or failure to perform its obligations.

KCGI may withhold or offset amounts otherwise due to Subcontractor against such documented costs to the extent permitted by applicable law. Payment for satisfactorily completed work remains subject to these offsets and other applicable project requirements.

11. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Kentucky.

12. Continuing Agreement

This Agreement establishes KCGI's general subcontractor standards and shall apply to work subsequently accepted and performed by Subcontractor for KCGI unless replaced or modified in writing.

Project-specific proposals, purchase orders, work orders, or other written agreements may supplement these standards.

Subcontractor Acknowledgment

By electronically accepting this Agreement, Subcontractor acknowledges that it has reviewed, understands, and agrees to comply with the KCGI Subcontractor Standards & Agreement. The individual accepting this Agreement represents that they are authorized to accept these terms on behalf of the Subcontractor identified above. Electronic acknowledgment and acceptance of this Agreement shall constitute Subcontractor's acceptance of these terms to the extent permitted by applicable law.
